Terms of Service

By accessing or using Zappilo's platform, website, or services (collectively, the "Service"), you agree to be bound by these Terms of Service. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms. If you do not agree to these Terms, do not use the Service.

Zappilo provides an AI-powered business communication and customer operations platform that enables businesses to manage customer conversations, deploy AI agents, automate workflows, and operate CRM functionality — primarily via WhatsApp Business API and other supported communication channels. The platform is provided as a software-as-a-service (SaaS) subscription.

Registration

You must create an account to use Zappilo. You agree to provide accurate, current, and complete information and to keep your account information updated. You are responsible for maintaining the confidentiality of your login credentials.

Account Security

You are responsible for all activity that occurs under your account. Notify us immediately at security@zappilo.com if you suspect unauthorised access. We are not liable for losses resulting from unauthorised use of your account.

One Account Per User

Each user must have their own account. Sharing login credentials between multiple individuals is not permitted.

Permitted Use

You may use Zappilo only for lawful business communication purposes and in compliance with these Terms, our policies, WhatsApp's Business Policy, and all applicable laws and regulations.

Prohibited Activities

You must not use Zappilo to send spam, unsolicited messages, or content that is illegal, harmful, fraudulent, deceptive, or violates third-party rights. You must not attempt to gain unauthorised access to our systems, disrupt service availability, or reverse-engineer any part of the platform.

WhatsApp Policy Compliance

Your use of WhatsApp-connected features must comply with Meta's WhatsApp Business Policy at all times. Violations may result in your WhatsApp Business Account being suspended by Meta, for which Zappilo bears no liability.

Subscription Fees

Zappilo is offered on a subscription basis. Fees are billed in advance on a monthly or annual basis depending on your selected plan. All fees are non-refundable except as expressly stated in these Terms or required by applicable law.

Payment

You authorise Zappilo to charge your payment method for all fees associated with your account. If payment fails, we may suspend or terminate your account after providing reasonable notice.

Price Changes

We may change subscription pricing with 30 days' written notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

Taxes

You are responsible for all applicable taxes. Prices do not include taxes unless explicitly stated.

Zappilo IP

Zappilo and its licensors own all right, title, and interest in the platform, software, AI models, designs, trademarks, and all related intellectual property. Nothing in these Terms grants you ownership of Zappilo's IP.

Licence to Use

We grant you a limited, non-exclusive, non-transferable licence to access and use the Service during your subscription period solely for your internal business purposes.

Your Content

You retain ownership of all content you create, upload, or store in Zappilo. You grant us a limited licence to process and store your content solely to provide the Service.

Data Ownership

You own your data. Zappilo acts as a data processor on your behalf for the purposes of providing the Service. Our handling of your data is governed by our Privacy Policy and, where applicable, a separate Data Processing Agreement.

Data Export

You may export your data at any time from within the platform. Upon account termination, you have 30 days to export your data before it is permanently deleted.

Each party agrees to keep confidential all non-public information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

Service Availability

We strive for high availability and will use commercially reasonable efforts to maintain the platform. However, the Service is provided "as is" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or uninterrupted service.

AI Features

AI-generated content and responses are probabilistic in nature. You are responsible for reviewing AI output before relying on it for business decisions. Zappilo does not warrant the accuracy, completeness, or fitness of AI-generated content for any specific purpose.

To the maximum extent permitted by applicable law, Zappilo's total liability to you for any claim arising out of or relating to these Terms or the Service shall not exceed the greater of (a) the fees paid by you to Zappilo in the 12 months preceding the claim, or (b) USD 100. In no event shall Zappilo be liable for indirect, incidental, special, consequential, or punitive damages, even if advised of the possibility of such damages.

By You

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period.

By Zappilo

We may suspend or terminate your account immediately if you breach these Terms, fail to pay fees, or if we are required to do so by law. We will provide reasonable notice where possible.

Effect of Termination

Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination — including intellectual property, confidentiality, and limitation of liability — will survive.

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which Zappilo is incorporated, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in that jurisdiction.

We may update these Terms from time to time. We will notify you of material changes at least 30 days before they take effect via email or in-platform notice. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
